5N+ 2025 Sustainability Report

Primary source

5N Plus Inc.

OtherenAccessed 4 Oct 2026

Recipient publication, not a securities filing. The report states no publication date; the PDF's creation date is 27 April 2026 and the server's last-modified date is 28 April 2026, which are file metadata and not recorded as the publication date. Page 42 says 5N+ announced a 'planned expansion' of germanium recovery and recycling 'supported by a significant financial award from the U.S. government', to increase recovery at its St. George facility 'over the next four years'. The wording is future-tense and states no execution, payment or physical stage. It dates the announcement to 2025 (the Department and the company's release date it to January 2026) and attaches space-qualified solar-cell capacity to the award, which is the subject of the 2024 award.

Award Summary: FA86502425501 (Cooperative Agreement), 5N PLUS SEMICONDUCTORS LLC

Primary source

USAspending.gov (U.S. Department of the Treasury), reporting Department of Defense award data

DatasetenAccessed 4 Oct 2026

Federal award record (read through the USAspending API, award, transactions and funding endpoints). Records DPA Title III cooperative agreement FA86502425501, awarded by the Department of the Air Force (AFRL) with Immediate Office of the Secretary of Defense funding, to 5N PLUS SEMICONDUCTORS LLC (Saint George, Utah address), new award dated 2024-04-11, 'modification to definitize the agreement' PZ0001 dated 2025-05-20, later non-financial modifications through 2026-03-26. Reported federal obligation $12,458,128 plus non-federal funding $2,505,981; place of performance is shown as multi-state. The record's description matches DoD's April 2024 release title, and the recipient's earlier DPA Title III awards FA86501225503 (2012) and FA86502025525 (2020) are separate records. The award summary reports $0 account outlay, while the funding endpoint lists three gross-outlay lines defined as fiscal-year-beginning-to-period-end: $998,701.28 (FY2024 period 9, ending June 2024), $1,032,342.24 (FY2025 period 9, June 2025) and $399,308.73 (FY2026 period 6, March 2026), the last two paired with equal negative obligations. The summary's $0 reflects USAspending counting only each fiscal year's latest closed DoD submission (consistent with the behavior observed through the API and with the published code at commit 7c86854, which was not verified against the deployed implementation), not an absence of outlay lines. The lines are cumulative within a fiscal year and are not totalled; they are federal-reported account data with no payee or payment date and support a partially_disbursed entry on federal-reporting attribution only.

Article 1: "“Direct Funding” means direct funding under the NOFO in the form of an other transaction" and "“CHIPS Incentives” means the provision of direct funding (via grants, cooperative agreements, or other transactions), loans and loan guarantees as described in the NOFO". OfficialenPublished 7 Nov 2025Accessed 3 Oct 2026

Binding quarterly filing of the recipient, read in a browser on 2026-09-23 (EDGAR refuses automated clients without a contact header). States that the banks' Commitment Letter "expired undrawn on its own terms on August 26, 2025, as it was reduced on a dollar-for-dollar basis upon the Offering ... and the Company's execution of the Revolving Credit Facility", and that in August 2025 the Company issued the $150 million Samarium Project Loan note to the DoW. It supports financing facts it states directly and is attributed to the company, not to the government. Full original filing reread on 3 October 2026 for the 10X lifecycle review; the reporting date is not treated as a construction commencement date.

MP Materials Corp., Form 8-K (Transaction Agreement with the Department of Defense)

Primary source

MP Materials Corp. / U.S. Securities and Exchange Commission (EDGAR)

OtherenPublished 10 Jul 2025Accessed 3 Oct 2026

The binding disclosure of the DoD deal terms, filed with the SEC. Read in full 2026-08-12 (EDGAR returns 403 without a declared user agent). Confirms verbatim: the Transaction Agreement was entered into on 9 July 2025 (the 'Effective Date'); a commitment for a $150 million loan to support expansion of heavy rare earth separation, to be extended by DoD within 30 days following closing; a quarterly payment per kilogram of NdPr equal to the shortfall between $110 per kg and the benchmark quarterly average price; a 10-year offtake agreement for magnet production from the 10X Facility; and a warrant issued to DoD. Source type 'other' follows the convention used for src-mp-dod-2025 (company document rather than a government instrument), but this is the filed agreement disclosure rather than a press release. Note the event is dated 2025-07-10, the announcement date, while the agreement's effective date is 2025-07-09. Rebuilt 2026-08-12 after the record was lost to an accidental working-tree revert; re-verified against the filing. Full original filing reread on 3 October 2026 for the 10X lifecycle review; the reporting date is not treated as a construction commencement date.

It does not quantify the initial SPC investment. Transfer of the 50% project interest is subject to prior shareholder and TSX Venture Exchange approvals.
